Movia sought an assessment of whether Lokaltog A/S had the right governance model to ensure a balance between efficient operations and democratic transparency. The goal was to identify how the model could be further developed to ensure the involvement of relevant stakeholders in decision-making processes without compromising operational efficiency.

Substantia led the proces of analyzing and developing recommendations for a future governance model.

• Benchmark analysis of best practices for the governance of publicly owned companies in Denmark and selected international actors, including the OECD.
• Stakeholder analysis based on interviews with key figures from Movia, Lokaltog, the regions, and other relevant decision-makers.
• Identification of areas for improvement, including opportunities to increase transparency in decision-making processes, implement differentiated levels of stakeholder involvement, and enhance openness in major decisions.
• Development of concrete recommendations for an optimized governance model that balances various considerations and supports Movia’s strategic objectives.

Substantia’s analysis led to a series of recommendations for a new governance model for Lokaltog A/S that could enhance transparency and stakeholder involvement without adding unnecessary complexity. The process provided Movia with a solid foundation for moving forward with the implementation of an improved governance model.
